Naseej International postpones capital increase vote

Riyadh – Mubasher: The extraordinary general meeting (EGM) of Naseej International Trading Company, originally scheduled for 22 July 2026, to vote on a proposed capital increase, was not held due to a lack of legal quorum.
Despite scheduling two consecutive sessions starting at 19:30, shareholder attendance remained insufficient to proceed with the agenda.
The company reported that attendance for the first meeting reached 17.34544%, while the second meeting, held one hour later, saw attendance of 17.87207%.
Under Saudi regulations, the failure to reach the required quorum for these sessions necessitates the calling of a third meeting.
Naseej International confirmed it will coordinate with relevant authorities to schedule a third extraordinary general assembly. This upcoming meeting will be considered valid regardless of the number of shares represented.
If the capital increase is approved during the third session, eligibility will be granted to shareholders registered with the Securities Depository Center at the end of the second trading day following the meeting date.
The company stated that the postponement has no impact on its financial auditors or dividend recommendations.
