Microsoft settles Activision Blizzard shareholder lawsuit for $250 million following claims tied to the company’s $75.4 billion acquisition deal.

Microsoft is set to pay $250 million to settle a shareholder suit linked to the purchase of Activision Blizzard. The suit was filed because the former company executives were alleged to have hurried the deal when the company was experiencing tough times.

While Microsoft and the executives did not admit to any wrongdoing, the agreement marks the end of one of the most significant lawsuits associated with the biggest acquisition in the gaming industry.

Microsoft Agreed to Pay $250 million in Activision Blizzard Shareholder Lawsuit

The case was filed in 2022 by the Swedish pension fund AP7. The shareholders alleged that the CEO of Activision Blizzard at the time, Bobby Kotick, along with other executives, agreed to the Microsoft offer of $95 per share without considering its value.

According to the allegations, the executives of Activision Blizzard were under tremendous pressure owing to the scandals regarding the workplace harassment cases that surrounded the company. The claimants alleged that executives did not seek a better valuation for themselves but for their protection.

The lawsuit stated that company leaders failed to maximize shareholders’ interests during the deal-making process.

Despite there being no admission of any wrongdoings by the company, Microsoft agreed to settle the case in order to clear itself from any sort of legal uncertainties.

As per industry experts, lawsuits related to major corporate deals may cause concerns among investors as well as keep bad press going for years. Moreover, a court trial would expose the private emails of the executives.

From the financial perspective, the settlement appears to be quite insignificant, especially when one considers the size of the acquisition. Microsoft has acquired Activision Blizzard for around $75.4 billion in total.

Based on court filings, Microsoft has to bear 40% of the total cost of the settlement amount. The rest of the costs would be covered by certain insurance plans related to the former executives.
