by Mitch Edgeman · The Markets DailyWhat happened

The shares move through the company's sales agreement with Needham Company, LLC, and the filing says they may be sold from time to time at various prices.

Why it matters
The 15,785,757 shares sold in October were about 82.2% of the 19,202,198 shares outstanding on October 23, 2026.
That puts the stock sale next to the company's existing share base and shows how quickly the program can add capital.
The prospectus supplement says the company may sell common stock from time to time through the at-the-market program, so the pace of dilution can continue if it chooses to use it again.
The filing also says the shares may be sold at various prices, which means cash raised will depend on market conditions at each sale.
The cap of up to 18.8 million shares leaves room for more issuance after the October sales.
OptimistFi's case is that XXII's value depends on converting very-low-nicotine positioning into durable sell-through before cash burn and financing needs dilute shareholders.
This filing shows that financing pressure is still present, because the company has already sold a large block and still has room to sell more.
The filing says those shares may be sold from time to time at various prices, so the amount of cash can change with each sale.

What's next
The at-the-market program remains available for future sales under the filing, so more issuance would extend dilution.
Less use of the program would ease that pressure, while continued sales would keep the financing question front and center.
