Rockwell Medical to Buy Vantive Dialysis Business in $125M Deal, Targeting Global Growth
by Michael Walen · The Markets DailyRockwell Medical (NASDAQ:RMTI) said it has entered an equity and asset purchase agreement with Vantive Limited to acquire Vantive’s global hemodialysis concentrates, hemodialysis machines, water treatment systems, related consumables and technical services business.
The transaction, which Rockwell expects to close in the middle of 2027 subject to regulatory approvals and other closing conditions, would expand the company from a primarily U.S.-based supplier of hemodialysis concentrates into a broader global hemodialysis platform.
President and CEO Dr. Mark Strobeck described the agreement as a transformational step that would expand Rockwell’s product portfolio, manufacturing footprint, international presence and base of recurring revenue.
Expanded Portfolio and Global Footprint
Under the agreement, Rockwell expects to acquire products including dry concentrate cartridges, additional concentrate formulations, hemodialysis machines such as the AK 98, machine parts and consumables, and water treatment systems including the CWP 100 and CWP 800. The acquisition would also add a global technical services organization.
Strobeck said the acquired business has an installed base of approximately 100,000 hemodialysis machines. That installed base is expected to create recurring demand for consumables, replacement parts, technical services and other aftermarket support.
Rockwell estimates that the combined businesses could produce annual revenue of $400 million to $450 million based on current projections, with about 90% of sales expected to be recurring.
The transaction also includes Vantive’s approximately 1 million-square-foot manufacturing campus in Medolla, Italy, along with additional assets globally. The Medolla facility manufactures dry concentrate cartridges, hemodialysis machines, related parts and consumables, and water treatment systems, according to the company.
Strobeck said the facility would provide Rockwell with an immediate European operating presence, specialized manufacturing and distribution capabilities, technical expertise and infrastructure serving international customers. He added that Rockwell expects to combine the facility with its continued automated concentrate production-line ramp-up in the U.S.
Purchase Price and Financing Structure
Chief Financial Officer Jesse Neri said the transaction carries an aggregate base purchase price of $125 million, subject to customary adjustments. Vantive will finance the purchase through two $50 million term loans and a $25 million convertible note.
- The first $50 million term loan, known as Tranche A, has a six-year term and an initial interest rate of SOFR plus 550 basis points. Its rate rises by 75 basis points annually.
- The second $50 million term loan, Tranche B, also has a six-year term, beginning at SOFR plus 700 basis points and increasing by 75 basis points annually.
- Neither term loan includes a prepayment penalty.
- The $25 million convertible note will have an initial conversion price set at a 100% premium to the 15-day volume-weighted average price of Rockwell’s common stock at signing.
Vantive could also receive up to $45 million in contingent consideration tied to specified revenue and EBITDA milestones. If earned, those payments would be made over several years.
Neri said Rockwell expects the combined business to generate sufficient cash to meet its financing obligations. In response to an analyst question, Strobeck said the company does not need additional capital to support operations between signing and closing, though it is considering financing structures that could be beneficial after closing.
Strategy, Integration and Commercial Opportunities
Management said the acquisition would accelerate the second phase of Rockwell’s long-term strategy. Strobeck said the company completed an earlier turnaround phase in the second half of 2024 that focused on eliminating non-core activities, refocusing on its hemodialysis operations and building a sustainably profitable core business.
Rather than diversifying away from its existing operations, Strobeck said the Vantive acquisition is intended to broaden Rockwell’s core hemodialysis business through complementary products and services sold to many of the same customers.
During the question-and-answer session, Strobeck said Rockwell sees a significant cross-selling opportunity in introducing Vantive’s broader product portfolio to Rockwell’s existing U.S. customer base. He said Vantive already manufactures concentrate products similar to those made by Rockwell, making the U.S. opportunity for machines and other portfolio components particularly relevant.
He also said Rockwell and Vantive expect to maintain an ongoing commercial relationship after closing, with Rockwell both purchasing from and supplying Vantive.
Outside the U.S., Strobeck cited B. Braun and Nipro among major suppliers in the global hemodialysis market. He said Vantive has government-tender contracts in more than 35 territories covering products expected to be manufactured and sold by Rockwell after the acquisition.
Rockwell plans to work with Vantive before closing on an integration plan intended to support continuity of supply and operations. The companies expect transition services agreements and manufacturing and supply agreements to cover employees, customers, systems, processes, manufacturing, product registrations and distribution during the transition.
Rockwell also withdrew its 2026 guidance for net sales, gross margin, adjusted EBITDA and operating cash flow, citing transaction-related expenses expected during the third and fourth quarters.
