Shares of Securitize Corp. (SECZ) decreased 9.77% to close at $6.74 following news of enhanced regulatory clearance in the United States. The stock’s retreat occurred even as the firm solidified its position as a regulated provider of tokenized financial infrastructure. This regulatory milestone enhances the company’s capacity to deliver institutional-grade onchain investment solutions.
Securitize Capital gains full SEC investment adviser authorization
Securitize disclosed that Securitize Capital LLC, its wholly-owned subsidiary, successfully registered as an investment adviser with the United States Securities and Exchange Commission. The registration took effect on July 22, transitioning the entity from its previous exempt reporting adviser classification. This change places the subsidiary under comprehensive regulatory oversight with enhanced compliance obligations.
This approval strengthens Securitize’s comprehensive U.S. regulatory framework for digital asset capital markets. The parent company maintains an SEC-registered broker-dealer operation, an Alternative Trading System, transfer agent services, and fund administration capabilities. The investment adviser registration complements these existing functions within its blockchain-based financial ecosystem.
According to the company, this new designation facilitates enhanced collaboration with institutional asset managers and professional market participants. Securitize anticipates the registration will bolster its portfolio management offerings for blockchain-based investment vehicles. The registration also imposes additional transparency, documentation, compliance monitoring, and regulatory oversight obligations mandated by federal securities regulations.
Advisory approval unlocks institutional tokenization opportunities
The investment adviser registration eliminates constraints associated with the previous exempt reporting adviser classification. Former regulations typically limited advisory operations to venture capital structures or smaller private investment vehicles. Securitize Capital now operates with expanded authority under the Investment Advisers Act of 1940.
The firm maintains its focus on developing comprehensive infrastructure supporting tokenized securities throughout issuance, secondary trading, and administrative functions. Securitize Markets functions as the regulated marketplace platform, supported by related entities delivering transfer agent and fund administration capabilities. Additionally, FINRA granted approval to Securitize Markets in 2025 for custody of tokenized securities and facilitation of atomic settlement mechanisms.
This enhanced regulatory structure enables Securitize to facilitate institutional development of blockchain-based lending solutions, tokenized investment vehicles, and diversified portfolio products. The platform reported managing more than $5 billion in assets under management as of July. This portfolio encompasses products connected to BlackRock, Apollo, BNY, Hamilton Lane, KKR, and VanEck, with BlackRock’s BUIDL fund accounting for approximately $2.6 billion.
Share price weakens despite growth trajectory and analyst optimism
The adviser registration arrives amid ongoing regulatory conversations regarding blockchain-enabled investment vehicles. SEC Commissioner Hester Peirce recently suggested that specific cryptocurrency vaults and lending mechanisms might trigger investment adviser registration requirements. Consequently, this approval positions Securitize in accordance with emerging regulatory frameworks governing onchain financial infrastructure.
Citi launched coverage of Securitize with a Buy recommendation and established a $10 price objective. The investment bank characterized Securitize as a critical infrastructure provider for real-world asset tokenization initiatives. Nevertheless, Citi noted potential concerns including dependence on BlackRock’s BUIDL fund, sensitivity to interest rate fluctuations, and questions about future transaction fee expansion.
Securitize completed its transition to public trading on July 2 via a merger with Cantor Equity Partners II, securing roughly $400 million in gross capital. The firm tokenized its SECZ equity on the debut date and subsequently established a partnership with Cantor to incorporate blockchain technology into upcoming initial public offerings and public equity transactions. Concurrently, Hanwha Group emerged as Securitize’s primary institutional investor with a 9.6% ownership position, as the company advances its collaboration with the New York Stock Exchange’s developing tokenized securities infrastructure.
