APICO calls shareholders to vote on capital hike via bonus shares

Riyadh – Mubasher: Arabian Plastic Industrial Company (APICO) has invited its shareholders to an extraordinary general meeting (EGM) scheduled for 3 September 2026 to vote on a board recommendation to increase the capital by 36%.
The proposed hike will raise the capital from SAR 75 million to SAR 102 million, according to a bourse filing.
The capital increase, totaling SAR 27 million, will be achieved by issuing one bonus share for every three shares held by existing investors.
To fund the issuance, the company will capitalize SAR 26.61 million from retained earnings and SAR 385,957 from the additional capital account.
Consequently, the total number of shares will rise from 7.50 million to 10.20 million shares.
The board stated that the capital expansion aims to strengthen the company's financial position and support growth plans.
As part of the restructuring, 200,000 new shares valued at SAR 2 million, representing 1.96% of the post-increase capital, will be allocated to a long-term employee incentive program.
Eligibility for the bonus shares is set for the end of trading on the EGM date for shareholders registered with the Securities Depository Center by the end of the second following trading day.
Shareholders will also vote on amending bylaws related to the company's objectives and remuneration policies.
In July 2026, the Capital Market Authority (CMA) approved for APICO to increase its capital.
